Affiliate Program Terms of Service

Vetra Mobile Affiliate Program Terms of Service · Version 4.2 · Effective October 29, 2026

These Terms of Service (the “Terms”) govern participation in the Vetra Mobile Affiliate Program (the “Program”) operated by Vetra Communications LLC d/b/a Vetra Mobile, a Florida limited liability company (“Vetra,” “we,” “us”). By accepting these Terms at signup by checking the consent box and selecting “Accept & Activate My Code” (or any successor acceptance button), you (“Affiliate,” “you”) agree to be bound by them. The Signup Acceptance Items in Part A are incorporated into and form part of these Terms. Your Creator Code is not activated, and no commission can accrue, unless and until you accept.

1. Eligibility and Authority

You must be at least 18 years of age and have reached the age of majority in your jurisdiction, and be legally able to enter into contracts. The Program is available for signup and participation worldwide (payouts are available only as described in Section 7), except that you may not participate if you reside in, or your payments would be routed through, a country or region subject to comprehensive U.S. sanctions or embargoes, or if you are a person listed on any U.S. or applicable international sanctions or restricted-party list. Vetra may block signup from, and may deactivate any account associated with, a sanctioned jurisdiction or restricted party, and no commission associated with such an account is payable. The Program is also not available to residents of the European Union, Norway, Iceland, Liechtenstein, the United Kingdom, or Switzerland. You represent and warrant that all information you provide at signup and in your payee profile is accurate and current, and that you have full power and authority to enter into and perform under these Terms. You are responsible for compliance with the laws of your own jurisdiction, including any registration, disclosure, or tax obligations that apply to affiliate marketing where you live or where your audience is located. You may not participate if Vetra has previously terminated your affiliate or creator account, unless we expressly reinstate you in writing. The English-language version of these Terms controls.

2. Independent Relationship — No Authority to Bind

You are an independent referrer, not an employee, agent, contractor, joint venturer, partner, or franchisee of Vetra. You have no authority to bind Vetra, accept payments on its behalf, negotiate on its behalf, make representations about Vetra beyond approved claims, or hold yourself out as a representative, spokesperson, or official source of Vetra. You may describe yourself as an independent Vetra affiliate solely for disclosure purposes. You may not register domain names, social media handles, email addresses, or any other identifiers that could reasonably be confused with Vetra’s own properties. Nothing in these Terms creates any employment, agency, or fiduciary relationship, and you are not entitled to any employee benefits.

3. Automatic Enrollment and Creator Codes

(a) Automatic enrollment. Enrollment is self-serve and automatic. There is no application or approval step. When you complete signup, select an available referral code (your “Creator Code”), and accept these Terms, your Creator Code and associated referral link are activated and you are enrolled in the Program. Enrollment is not a vetting, review, approval, or endorsement of you or your content by Vetra, and it does not waive any of Vetra’s rights under these Terms. Vetra may at any time require you to verify your identity, contact information, or the accounts you use to promote the Program, and may suspend your Creator Code until verification is complete.

(b) Choosing a Creator Code. Creator Codes must be 3 to 20 characters, letters and numbers only, and unique. By selecting a Creator Code, you represent and warrant that it does not (i) contain or consist of any trademark, service mark, trade name, or brand of Vetra or any third party, (ii) contain the name, likeness, or identity of any person other than you, or (iii) contain any profane, obscene, hateful, harassing, or otherwise offensive term. You may not select a Creator Code that is identical or confusingly similar to any Vetra name, mark, plan, product, domain, or social media handle, or that Vetra determines could suggest it is an official Vetra code, offer, or promotion (for example, codes containing “VETRA,” “OFFICIAL,” “SUPPORT,” or “PROMO”). A code that passes the signup availability check is not thereby approved.

(c) Deactivation, reclamation, and reassignment. Vetra may, at any time, in its sole discretion, and with or without notice, refuse, block, suspend, deactivate, reclaim, rename, reformat, or reassign any Creator Code, for any reason or no reason. Without limiting that right, Vetra may act on any code that Vetra determines (i) violates paragraph (b), (ii) is the subject of a third-party complaint or claim, (iii) is confusable with Vetra or any Vetra property, offer, or sales channel, (iv) is offensive or harmful to Vetra’s brand, (v) is needed to operate the Program or for Vetra’s own use, or (vi) is associated with an Affiliate who has engaged in Reputational Conduct (Section 11), has been the subject of negative publicity, or has engaged or is alleged to have engaged in wrongdoing, whether or not proven. Vetra may also act simply because it no longer wishes to be associated with you. Vetra is not required to give notice, an explanation, or an opportunity to cure. If Vetra deactivates or reclaims a Creator Code for a reason other than your breach, Vetra may, but is not required to, invite you to select a replacement code. Referrals made with a Creator Code after its deactivation, reclamation, or reassignment are not attributed to you, and Vetra has no obligation to redirect, honor, or pay commission on referrals made with a former code. Vetra has no liability to you for any action taken under this Section, including any loss of audience, content, goodwill, or anticipated commissions. Unless Vetra also terminates your participation, deactivation of a Creator Code does not affect commissions on Referred Customers attributed to you before the deactivation. If Vetra deactivates your code because of Reputational Conduct or a breach of these Terms, the deactivation is a termination for cause under Section 13.

(d) No ownership. Creator Codes and referral links are Vetra’s property, are licensed to you only for the duration of your participation, are personal to you, and may not be sold, shared, sublicensed, assigned, or transferred. You acquire no ownership, trademark, or other rights in any Creator Code, even if it contains your name or handle, and you will not apply to register any Creator Code as a trademark, domain name, or social media handle. You may hold only one affiliate account and one active Creator Code unless Vetra agrees otherwise in writing.

4. Referrals, Attribution, and Tracking

A “Referred Customer” is a new Vetra customer who activates service using your Creator Code or referral link at signup, as recorded by Vetra’s systems. Vetra’s tracking records are the sole and conclusive basis for attribution, commission calculation, and payment, and are final and not subject to dispute. No attribution is available for customers who do not enter your Creator Code or activate through your referral link at signup, and no retroactive attribution will be made. Self-referrals (use of your own code for accounts you own, control, or fund, or accounts within your household) do not qualify and are grounds for termination. Vetra may modify attribution mechanics (including code entry, links, or tracking windows) at any time. Attribution is single-source. Each Referred Customer is attributed to only one source, and a customer attributed in Vetra’s systems to a Vetra authorized retail dealer, agent, or other Vetra sales channel generates no commission under this Program, even if the customer also used, entered, or was exposed to your Creator Code or referral link. Commissions are never split or shared between sources. If more than one Creator Code is associated with a customer, Vetra’s systems determine the single attributed source. Reports in your affiliate dashboard are Vetra’s sole statement of your referral activity, and you have no right to inspect or audit Vetra’s books, records, billing systems, or customer data.

5. Commissions, Contingencies, and Reversals

Commissions are defined by the Commission Schedule posted by Vetra in the affiliate dashboard (the “Commission Schedule”), the current version of which is attached as Exhibit A. Unless the Commission Schedule states otherwise, commissions are calculated on the base monthly plan price actually paid by the Referred Customer, excluding taxes, fees, surcharges, one-time charges, add-ons (other than additional lines, which are included as described below), top-ups, and device or accessory purchases.

An “Active Subscriber” is a Referred Customer who maintains at least one active, paid Vetra service line in good standing and whose payment for the applicable billing cycle has cleared. A customer whose account is suspended, in arrears, or terminated is not an Active Subscriber for that cycle.

A first-month commission is earned only when (i) the Referred Customer’s first full monthly bill and second full monthly bill have each been paid in full and the payments have cleared, and (ii) the customer remains an Active Subscriber through the date the second full monthly payment clears (the period from activation through that date, the “Validation Period”). The first-month commission is paid together with the recurring commission for the second full month, in the payout cycle that follows the month in which the second full monthly payment clears. If the Referred Customer cancels, is suspended, or is terminated before the second full monthly bill is paid in full, no first-month commission is earned or payable. If the Referred Customer’s first bill covers a partial month, the first full month is the first complete monthly billing cycle after activation. A recurring commission is earned for a given billing cycle only when that cycle’s payment clears in full. A billing cycle for which payment does not clear generates no commission; if the customer later brings the account current, commission resumes with the cycles actually paid, and commissionable cycles need not be consecutive. If a Referred Customer changes plans, each commission is calculated on the plan price actually paid for the cycle being commissioned. For Multi-line accounts, commission is calculated on each line on the Referred Customer’s account, based on the base plan price actually paid for each line for the cycle being commissioned. Lines on the account when it first activates earn both the first-month commission and the recurring commission. A line added after activation, including through Vetra’s “add-a-line” plan, earns the recurring commission only, beginning with that line’s first full month of paid service, and never earns a first-month commission. Additional lines, including “add-a-line” plans, are part of the commission base and are not “add-ons” under this Section Commissions are reversed, offset against future payouts, or clawed back if: (a) the underlying payment is refunded, reversed, or charged back; (b) the Referred Customer cancels within the Validation Period; (c) the referral resulted from fraud, self-referral, or traffic prohibited by Section 8; or (d) the commission was paid in error. Vetra may withhold payouts pending investigation of suspected fraud or prohibited traffic, and may condition release of any payout on receipt of supporting documentation or verification reasonably acceptable to Vetra. Commissions have no cash value until paid, are not property until paid, and accrue no interest. Payment of any commission is conditioned on your continued compliance with these Terms through the date of payment.

6. Changes to Commission Structure

Vetra may modify, replace, or discontinue the Commission Schedule, commission rates, payout structure, eligibility rules, or any other element of Program compensation at any time, in its sole discretion, without the Affiliate’s consent and without individualized notice. Changes take effect upon posting of the revised Commission Schedule to the affiliate dashboard (or, if Vetra elects, upon email notice), and apply prospectively to commissions not yet earned as of the effective date of the change. Commissions already earned under Section 5 before the effective date remain payable at the prior rates, subject to the reversal and forfeiture provisions of these Terms. Your sole remedy if you do not agree to a change is to stop participating in the Program and terminate under Section 13. Continued participation after a change is posted constitutes binding acceptance of the change.

7. Payouts, Supported Jurisdictions, Taxes, and KYC

Payouts are made in U.S. dollars only, by direct ACH deposit or another payout method Vetra selects. Vetra may make payouts directly or through one or more third-party payout providers it engages, and references in these Terms to “Vetra or its payout provider” mean whichever of them performs the relevant step. Payouts are made only after you complete payee onboarding in Vetra’s affiliate portal (or with Vetra’s payout provider), including identity verification, sanctions screening, and collection of a valid IRS Form W-9 or, if payouts have been extended to non-U.S. persons, a valid IRS Form W-8BEN or W-8BEN-E. Vetra pays validated commission balances on a monthly cycle, within thirty (30) days after the end of the calendar month in which the commission completes validation. You are solely responsible for all taxes on amounts paid to you as set out in acceptance Item 10, which is incorporated into these Terms. Amounts held because you have failed or not completed any identity, sanctions, tax-form, or other legally required verification may be forfeited if the failure is not cured within 180 days after Vetra or its payout provider first notifies you of it. This forfeiture applies only to verification failures. It does not apply to a Held Balance. Vetra may deduct or offset from any payout amounts you owe Vetra under these Terms.

Payout Eligibility and Supported Payout Jurisdictions. Payouts are currently made only by direct ACH deposit, which at launch is limited to payees who are United States persons for U.S. federal income tax purposes, who have provided a valid, signed IRS Form W-9, and who designate a bank account in their own name at a financial institution located in the United States (the “Payout Eligibility Requirements”). Each jurisdiction in which payouts are available is a “Supported Payout Jurisdiction,” and at launch the only Supported Payout Jurisdiction is the United States. You may sign up for and participate in the Program from any eligible jurisdiction, but you will receive payouts only while you meet the Payout Eligibility Requirements then in effect and have completed payee onboarding. Vetra may add, remove, or change Supported Payout Jurisdictions, the Payout Eligibility Requirements (including by extending payouts to non-U.S. persons who provide a valid IRS Form W-8BEN or W-8BEN-E, or to non-U.S. bank accounts), payout methods, payout providers, and payout currencies at any time, in its sole discretion, and does not promise that payouts will become available in any particular jurisdiction or by any particular date.

Held Balances. If you cannot meet the Payout Eligibility Requirements because of your residence, tax status, or banking location (for example, because you are not a U.S. person or do not have a U.S. bank account), commissions you earn under Section 5 are recorded to your account and held (a “Held Balance”). A Held Balance (i) is not due or payable unless and until payouts become available to you under the Payout Eligibility Requirements then in effect and you complete payee onboarding and verification, (ii) accrues no interest, (iii) remains subject to the validation, reversal, clawback, offset, and for-cause forfeiture provisions of these Terms, and (iv) is not forfeited solely because payouts are unavailable in your jurisdiction. When payouts become available to you, your Held Balance will be paid in the next regular payout cycle after you complete payee onboarding and verification. Vetra may, but is not required to, offer an alternative payout method for Held Balances.

Conditions to Payment. No commission is payable, and Vetra has no obligation to make any payout, unless and until you have completed payee onboarding in Vetra’s affiliate portal (or with Vetra’s payout provider), including providing (i) a complete, accurate, and signed (including electronically certified) IRS Form W-9 showing your correct taxpayer identification number or, if payouts have been extended to non-U.S. persons, a valid IRS Form W-8BEN or W-8BEN-E, (ii) valid bank account information for ACH deposit (or other payout account information), in your own name or the name of your business entity, that Vetra or its payout provider accepts, and (iii) any identity, sanctions, or other verification information Vetra or its payout provider requests. You authorize Vetra or its payout provider to initiate ACH credit entries to the account you designate and, to the extent permitted by the NACHA Operating Rules and applicable law, to initiate entries to reverse or correct any payment made in error. Vetra may rely on the information you provide, may require verification before accepting any change to your payout account, and has no liability for any payout sent to an account you designate. If a payout is returned or rejected because your account information is inaccurate or the account is closed, Vetra will hold the amount until you provide valid account information. Vetra may withhold from any payment any amount required by law, including backup withholding. Commissions held because these conditions have not been satisfied, including returned payouts, are subject to forfeiture under this Section if the conditions are not satisfied within 180 days after Vetra or its payout provider first requests them or notifies you of the return. This forfeiture does not apply to a Held Balance.

8. Marketing Rules, Prohibited Conduct, and Records

In addition to the acceptance items in Part A (each of which is incorporated into these Terms), you agree to the following:

  • Approved claims only. You will describe Vetra’s network, plans, pricing, and perks only as published on vetramobile.com or in materials Vetra provides to you. You will not state or imply that Vetra is, operates, or is endorsed by any underlying network carrier, and you will not invent speed, coverage, discount, or perk-value claims. You will not quote any dollar value for the VSUB benefit.
  • FTC disclosure. Clear and conspicuous disclosure of your material connection to Vetra in every piece of content containing your Creator Code or link, per the FTC Endorsement Guides and equivalent local rules.
  • No spam and no TCPA-regulated marketing. No unsolicited bulk email, no SMS/MMS/RCS marketing, no autodialed or prerecorded calls or texts, and no marketing that violates CAN-SPAM, TCPA, CASL, GDPR, or equivalent laws anywhere your audience is located.
  • Prohibited channels and traffic. No bidding on Vetra brand terms or confusingly similar terms in paid search; no coupon, deal, voucher, or cashback sites; no sub-affiliate networks; no incentivized or paid-to-click traffic; no bots or artificial traffic; no self-referrals.
  • No unauthorized promotions. No sweepstakes, contests, raffles, or giveaways involving Vetra’s service, codes, brand, or commission-funded prizes without Vetra’s prior written approval.
  • Brand-safe placement. No placement of Vetra’s brand or your Creator Code in content that is unlawful, hateful, sexually explicit, or that Vetra reasonably determines is harmful to its brand.
  • No data misuse. You will not represent that you collect data on Vetra’s behalf, will not sell audience data as “Vetra” data, and will comply with applicable privacy laws in your own data practices. Vetra will not provide you with customer personal information. Referral reports are provided in aggregated or de-identified form and will not identify any Referred Customer or that customer’s account, plan, line, or usage information. You will not attempt to identify any Referred Customer from Program data.
  • Records and fraud investigations. You will keep records of your promotion of the Program for at least twelve (12) months after they are created. During any investigation of suspected fraud, prohibited traffic, self-referral, or other breach, whether during your participation or within twelve (12) months after it ends, you will, within ten (10) days after Vetra’s written request, provide the records Vetra reasonably requests, including traffic sources, referring URLs, campaign and ad-account records, analytics, screenshots, scripts and posts, paid-media spend, and communications with any person who used your Creator Code. Vetra may withhold payouts until you fully cooperate, and failure to cooperate is grounds for termination for cause. This right belongs to Vetra alone and gives you no right to inspect or audit Vetra’s records.

9. Brand Assets and Limited License

Vetra may make logos, banners, and other marketing assets available to you. Vetra grants you a limited, non-exclusive, non-transferable, revocable license to use those assets solely to promote Vetra under these Terms and in compliance with Vetra’s brand guidelines as provided or updated from time to time. Vetra may revoke this license at any time for any reason. You acquire no ownership or goodwill in Vetra’s marks. You will not alter the assets, combine them with other marks, or use them in any manner that suggests sponsorship of your channel beyond the affiliate relationship.

10. Confidentiality

“Confidential Information” means non-public information Vetra makes available to you in connection with the Program, including commission schedules not publicly posted, program economics, performance data, dashboards, roadmaps, unreleased plans, promotions, or features, and any materials marked or reasonably understood to be confidential. You will use Confidential Information solely to participate in the Program, will protect it with at least reasonable care, and will not disclose it to any third party. Confidential Information does not include information that is or becomes public through no fault of yours, was lawfully known to you before disclosure, is received from a third party without duty of confidentiality, or is independently developed without use of Confidential Information. If you are legally compelled to disclose Confidential Information, you will, to the extent legally permitted, give Vetra prompt notice and disclose only what is required. These obligations survive for three (3) years after your participation ends; obligations as to trade secrets survive for as long as the information remains a trade secret. Upon termination, you will cease use of and delete Confidential Information in your possession. Nothing in this Section restricts disclosures to government agencies or regulators or any disclosure required by law.

11. Non-Disparagement and Duty to Protect Vetra’s Reputation

During your participation in the Program and for two (2) years after it ends, you will not make, publish, or cause to be published any public statement that disparages or denigrates Vetra, its services, or its officers or employees. This Section does not restrict: (a) truthful testimony or filings compelled by law or legal process; (b) truthful statements to any government agency or regulator; (c) communications that cannot lawfully be restricted by private agreement; or (d) statements made in the good-faith exercise of rights that applicable law does not permit to be waived. Violation of this Section is grounds for immediate termination and forfeiture of unpaid commissions under Section 13. Nothing in these Terms, including this Section and Section 13, restricts, or imposes any penalty, fee, or forfeiture for, any review, rating, or other assessment of Vetra’s goods, services, or conduct that you make as an individual customer of Vetra, to the extent the communication is protected by the Consumer Review Fairness Act of 2016 (15 U.S.C. § 45b) or similar state law. If any such communication appears in content that includes your Creator Code or referral link, the disclosure requirements of these Terms still apply.

Duty to protect Vetra’s reputation. Throughout your participation in the Program, you owe Vetra a duty to use reasonable care to protect and preserve Vetra’s reputation and goodwill. You will not engage in any conduct, whether or not related to the Program, and whether online or offline, that Vetra determines, in its sole discretion, brings or is likely to bring you or Vetra into public disrepute, contempt, scandal, or controversy, or that reflects unfavorably on Vetra, its services, or its brand (“Reputational Conduct”). Reputational Conduct includes, without limitation: (i) conduct that is, or is credibly alleged to be, illegal, fraudulent, or dishonest, (ii) hateful, harassing, threatening, violent, or sexually explicit content, (iii) deceptive, abusive, or exploitative treatment of your audience, (iv) association of Vetra’s name, brand, or your Creator Code with any public controversy, and (v) any act or statement that disparages or damages Vetra, whether or not it is a public statement covered by the first paragraph of this Section.

Notice and remedies. You will notify Vetra promptly, at the notice address in Section 19, if you become aware of any actual or threatened claim, investigation, or public controversy involving you that relates to Vetra or could reasonably affect Vetra’s reputation. If Vetra determines that you have engaged in Reputational Conduct, Vetra may, in addition to any other remedy, immediately deactivate your Creator Code, require you to remove content that references Vetra, publicly disassociate itself from you, and terminate your participation for cause under Section 13. The protected-customer-review carve-out in the first paragraph of this Section applies to this paragraph and the preceding paragraph.

12. Publicity

You grant Vetra the right to identify you by your public creator or channel name, and to display your channel name and public profile imagery, in connection with operating and promoting the Program (for example, affiliate directories or program marketing). Vetra will not state that you endorse Vetra beyond your actual participation. You may revoke this permission prospectively by written notice, except as embedded in materials already published.

13. Term, Suspension, Termination, and Program Changes

These Terms apply from your acceptance until terminated. You may terminate at any time by written notice or by using account closure tools. Vetra may suspend or terminate your participation at any time, with or without cause and with or without notice, as set out in acceptance Item 12, which is incorporated into these Terms. Vetra may also suspend, modify, or discontinue the Program in whole or in part at any time, without liability to you beyond payment of commissions already earned and validated as of the discontinuation date, subject to this Section.

Upon any termination: (a) your Creator Code and links are deactivated and no further commissions accrue, including recurring commissions for periods after the termination date; (b) all licenses to Vetra brand assets end and you will promptly remove Vetra brand assets from your properties (organic historical content need not be deleted but may not be updated to include your code); and (c) if Vetra terminates for cause (including fraud, prohibited traffic, Reputational Conduct, or material breach of these Terms), all unpaid commissions, whether or not validated, are forfeited to the extent permitted by law. If termination is without cause, Vetra will pay commission balances that are earned and validated as of the termination date, on the next regular payout cycle, subject to KYC, offset, and reversal provisions of these Terms. A Held Balance under Section 7 remains held on the same terms after a termination without cause.

14. Disclaimers and No Guarantee of Earnings

THE PROGRAM, THE DASHBOARD, TRACKING, AND ALL PROGRAM MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. VETRA DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE TRACKING. VETRA MAKES NO REPRESENTATION AND GIVES NO GUARANTEE OF ANY LEVEL OF REFERRALS, CONVERSIONS, OR EARNINGS, AND YOU ACKNOWLEDGE YOU HAVE NOT RELIED ON ANY SUCH REPRESENTATION IN JOINING THE PROGRAM. ANY EARNINGS EXAMPLES, CALCULATORS, OR ILLUSTRATIONS THAT VETRA PUBLISHES, INCLUDING ON ITS WEBSITE, ARE HYPOTHETICAL, ARE NOT TYPICAL RESULTS, AND ARE NOT PROMISES OF EARNINGS. IF ANY SUCH MATERIAL CONFLICTS WITH THESE TERMS, THESE TERMS CONTROL.

15. Indemnification

You will defend, indemnify, and hold harmless Vetra, its affiliates, and their officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, penalties, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your content, statements, or marketing activity; (b) your breach of these Terms, including the acceptance items; (c) your violation of any law, including TCPA, CAN-SPAM, FTC disclosure requirements, sweepstakes laws, or privacy laws; (d) your infringement of any third-party rights; or (e) your taxes. Vetra may assume the exclusive defense of any matter subject to indemnification, in which case you will cooperate.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) VETRA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY; AND (B) VETRA’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PROGRAM OR THESE TERMS WILL NOT EXCEED THE GREATER OF (i) THE TOTAL COMMISSIONS PAID TO YOU IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED U.S. DOLLARS ($100). THESE LIMITS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

17. Dispute Resolution, Arbitration, and Class Waiver

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. Except as stated below, any dispute arising out of or relating to the Program or these Terms will be resolved exclusively by binding arbitration administered by the American Arbitration Association under the AAA rules that the AAA determines apply to the dispute (including, as applicable, its Consumer, Employment/Workplace, or Commercial Arbitration Rules and its Mass Arbitration Supplementary Rules), before a single arbitrator, seated in Hillsborough County, Florida (with the option of remote proceedings for affiliates outside Florida). Judgment on the award may be entered in any court of competent jurisdiction. Either party may instead bring an individual claim in small-claims court if it qualifies. Vetra may seek temporary or preliminary injunctive relief in any court of competent jurisdiction to protect its intellectual property, brand assets, or Confidential Information. ALL CLAIMS MUST BE BROUGHT ON AN INDIVIDUAL BASIS; CLASS ACTIONS, COLLECTIVE ACTIONS, AND CONSOLIDATED PROCEEDINGS ARE WAIVED, AND EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL. If the class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) will proceed in court in Hillsborough County, Florida. These arbitration provisions are summarized in acceptance Item 14, which is incorporated into these Terms. If Item 14 and this Section 17 conflict, this Section 17 controls.

Arbitration terms. These Terms evidence a transaction involving interstate commerce, and the Federal Arbitration Act governs the interpretation and enforcement of this Section. The arbitrator, and not any court, has exclusive authority to resolve any dispute about the formation, existence, scope, validity, enforceability, or arbitrability of this Section, except that a court decides any dispute about the class-action waiver or the mass-arbitration paragraph below. Vetra will pay AAA filing, administrative, and arbitrator fees to the extent required by the applicable AAA rules or by law.

Informal resolution first. Before starting an arbitration, a party must send the other a written notice describing the claim and the relief sought (to Vetra at the legal notice address in Section 19, and to you at your email of record), and the parties will attempt in good faith to resolve the claim for sixty (60) days. Any applicable limitations period is tolled during this period. Completing this process is a condition to filing an arbitration.

Mass arbitration. If twenty-five (25) or more similar demands are filed against Vetra by or with the assistance of the same or coordinated counsel or organizations, the demands will be administered under the AAA Mass Arbitration Supplementary Rules and, to the extent those rules permit, filed and resolved in staged batches, with fees for later batches deferred until earlier batches are resolved.

Opt-out. You may opt out of this arbitration agreement by sending written notice to creators@vetramobile.com within thirty (30) days after you first accept these Terms, stating your name, Creator Code, account email, and intent to opt out. If you opt out, (i) any dispute between you and Vetra will be resolved exclusively in the state or federal courts located in Hillsborough County, Florida, and you consent to their personal jurisdiction, and (ii) THE CLASS-ACTION WAIVER AND JURY-TRIAL WAIVER IN THIS SECTION 17 CONTINUE TO APPLY TO YOU TO THE FULLEST EXTENT PERMITTED BY LAW. Opting out does not affect any other part of these Terms.

Changes to this Section. Notwithstanding Section 18, a change to this Section 17 does not apply to any claim that was filed, or for which a party had sent notice under this Section, before the change took effect.

18. Modifications to These Terms and Electronic Acceptance

Vetra may modify these Terms at any time by posting a revised version, as set out in acceptance Item 13, which is incorporated into these Terms. Modifications apply prospectively from their effective date. Your acceptance of these Terms, and of any future revision, is recorded electronically with timestamp and IP address, and constitutes a binding electronic signature under E-SIGN, UETA, and equivalent laws.

19. General

Vetra may assign these Terms, in whole or in part, without your consent, including to an affiliate or in connection with a merger, acquisition, or sale of assets. You may not assign these Terms or any right to commissions without Vetra’s prior written consent, and any purported assignment in violation is void. If any provision is held unenforceable, it will be limited or severed to the minimum extent necessary and the remainder will remain in effect. Vetra’s failure to enforce a provision is not a waiver. These Terms, together with the acceptance items in Part A, the Commission Schedule, and policies referenced herein, are the entire agreement between you and Vetra regarding the Program and supersede all prior discussions. Vetra is not liable for delays or failures caused by events beyond its reasonable control. Sections that by their nature should survive termination (including Section 4, Sections 5–7 as to reversals, offsets, verification, and Held Balances, Section 8 as to records and fraud investigations, and Sections 10, 11, and 14 through 19) survive. Notices to Vetra must be sent by email to creators@vetramobile.com or by mail or courier to Vetra Communications LLC d/b/a Vetra Mobile, Attn: Legal, 3719 Corporex Park Dr, Suite 75, Tampa, FL 33619. Arbitration opt-outs must be sent by email as described in Section 17. Notices to you: your email or dashboard, per Section 18. Vetra’s collection and use of your personal information is described in the Vetra Mobile Affiliate Privacy Notice, available at wf.vetramobile.com/affiliate-privacy-notice.

Recurring commission10%10% of the base monthly plan price actually paid, for each billing cycle after the first full month (beginning with the second full month) in which the Referred Customer remains an Active Subscriber and the cycle’s payment clears. Continues while the customer stays active and the Affiliate remains in the Program. Lines added after activation, including add-a-line plans, earn this recurring commission only, beginning with that line’s first full month of paid service.
  • Commission base: base monthly plan price actually paid, pre-tax, excluding taxes, fees, surcharges, one-time charges, add-ons, top-ups, and device or accessory purchases. Additional lines, including add-a-line plans, are part of the commission base and are not add-ons. On multi-line accounts, commission is calculated line by line on what each line actually pays (Section 5).
  • All commissions are subject to the contingency, reversal, clawback, offset, validation, and KYC provisions of the Terms.
  • Plan changes: each commission is calculated on the plan price actually paid for the cycle being commissioned. Cycles with no cleared payment pay nothing; commission resumes with cycles actually paid, and commissionable cycles need not be consecutive.
  • No commission accrues for billing cycles after the Affiliate’s termination date, and recurring commissions accrue only while the Affiliate remains in the Program and in good standing.
  • Single-source attribution: customers attributed to a Vetra retail dealer, agent, or other sales channel generate no commission (Section 4).
  • The two components above are the only compensation payable under the Program. No other commission, bonus, product, free or discounted service, service credit, or other benefit is payable or earned under the Program.
